When do you need to define a term in an agreement?

    How do we decide if a term needs to be defined or not in an agreement? For example, does the word online software needs to be defined?

    When in doubt, define. In detail. Any potentially ambiguous terms will bite you later if you don't. For example, is that software obtained online, and then run locally? Or is it software run on the site's server via online interaction with the user? Or is it software that helps me to go online?
